Terms of Service

Effective date: 26 August 2026

1. Overview

These Terms of Service ("Terms") govern your use of Shopify applications (the "App" or "Apps") developed and operated by Intelli UA LLC ("we", "us", "our").

By installing or using our App, you agree to these Terms.

If you do not agree with these Terms, you must not install or use the App.

2. Eligibility

You must be at least 18 years old and have the authority to enter into agreements on behalf of your business to use the App.

By installing the App, you confirm that you meet these requirements.

3. Relationship with Shopify

Our App integrates with the Shopify platform. Your use of Shopify is governed by Shopify’s own terms and policies.

We are independent from Shopify and are not responsible for Shopify’s platform availability, performance, or policies.

4. App Functionality

The App provides features intended to support Shopify merchants in operating their stores.

We may update, improve, modify, or discontinue features at any time without prior notice.

We do not guarantee that the App will be uninterrupted, error-free, or available at all times.

5. Merchant Responsibilities

You are responsible for:

  • maintaining accurate store data
  • complying with applicable laws and regulations
  • obtaining any required customer permissions
  • ensuring your use of the App complies with Shopify policies

You remain the data controller of any customer data processed through your store.

6. Data Processing and Privacy

Your use of the App is also governed by our Privacy Policy.

Where we process personal data on your behalf, we act as a data processor and process such data only as necessary to provide App functionality and in accordance with our Data Processing Agreement (DPA), where applicable.

7. Fees and Billing

Some features of the App may require payment.

All billing is handled through Shopify’s billing system unless otherwise specified.

Fees are non-refundable except where required by law.

We reserve the right to change pricing at any time. Changes will not affect already approved billing cycles.

8. Acceptable Use

You agree not to:

  • use the App for unlawful purposes
  • interfere with App operation
  • attempt unauthorized access to systems
  • reverse engineer or copy the App
  • misuse customer data accessed through the App

Violation of this section may result in suspension or termination of access.

9. Intellectual Property

All intellectual property rights in the App remain the property of Intelli UA LLC.

You receive a limited, non-exclusive, non-transferable license to use the App while installed on your Shopify store.

10. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability.

Maintenance, updates, or external service outages may temporarily affect App functionality.

11. Third-Party Services

The App relies on third-party service providers, including cloud hosting platforms, infrastructure providers, and monitoring tools, to operate and deliver functionality.

Where these providers process personal data outside the European Economic Area (EEA), such transfers are protected using appropriate safeguards, including the European Commission’s Standard Contractual Clauses (SCCs).

12. International Data Transfers (EU Standard Contractual Clauses)

If personal data originating from the European Economic Area (EEA), the United Kingdom, or Switzerland is transferred to countries that do not provide an adequate level of data protection under applicable law, such transfers are safeguarded using the European Commission's Standard Contractual Clauses (Commission Implementing Decision (EU) 2021/914) or another lawful transfer mechanism where required by applicable data protection law.

Where we act as a data processor on behalf of merchants, the applicable international transfer mechanism is governed by our Data Processing Agreement (DPA), where one is in place, or by other applicable contractual safeguards required by law.

Merchants located in the EEA may request a copy of the applicable safeguards by contacting us using the contact information provided below.

13. Termination

You may stop using the App at any time by uninstalling it from your Shopify store.

We may suspend or terminate access if:

  • you violate these Terms
  • required by law
  • necessary to protect the App or other merchants

Upon termination, your right to use the App ends immediately.

14. Limitation of Liability

To the maximum extent permitted by law, Intelli UA LLC shall not be liable for:

  • indirect damages
  • loss of profits
  • loss of data
  • business interruption

arising from use of the App.

Total liability shall not exceed the amount paid for the App during the previous 12 months.

15. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind.

We disclaim all implied warranties including fitness for a particular purpose and non-infringement to the extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless Intelli UA LLC from claims arising out of:

  • your use of the App
  • violation of these Terms
  • violation of applicable laws
  • misuse of customer data

17. Changes to the Terms

We may update these Terms from time to time.

Updated versions will be posted with a revised effective date.

Continued use of the App after updates constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of Ukraine.

Any disputes arising from these Terms shall be resolved in the courts of Ukraine unless otherwise required by applicable consumer protection law.
